Independent Contractor Agreement

This agreement is between you (the "Contractor") and Reachd, Inc. ("Reachd"). By checking the acceptance box during registration, you are electronically signing this agreement. Please read it carefully before accepting.

1. Independent Contractor Relationship

You and Reachd agree that you are an independent contractor and not an employee, agent, partner, or joint venture of Reachd. This Agreement does not create an employment relationship of any kind.

As an independent contractor:

You set your own hours and schedule
You set your own prices and bid amounts
You provide your own tools, equipment, and materials
You may work for other clients, platforms, or businesses without restriction
You are not required to accept any particular job or minimum number of jobs
Reachd does not supervise, direct, or control the manner in which you perform services

These characteristics are essential to the independent contractor relationship and must remain true for this Agreement to be valid.

2. Platform Services

Reachd provides a technology platform that connects you with homeowners seeking home services. Reachd does not itself provide home services, does not employ contractors, and is not a party to the service contracts formed between you and homeowners.

You understand that:

Reachd makes no guarantee of the number or frequency of jobs
Reachd may modify, suspend, or terminate the platform at any time
Reachd may update these terms with reasonable notice
Homeowners on the platform are Reachd customers, but the service contract is between you and the homeowner

3. Your Responsibilities

3.1 Licensing and insurance

You represent and warrant that you:

Hold all licenses, permits, and certifications required by law to perform your advertised trade in your service area
Maintain General Liability Insurance meeting Reachd's minimum requirements for your trade at all times
Will promptly notify Reachd if any license, certification, or insurance lapses or is revoked

3.2 Quality of work

You agree to perform all services in a professional, workmanlike manner, in compliance with all applicable codes, standards, and regulations. You are solely responsible for the quality and safety of your work.

3.3 Taxes

You are solely responsible for all federal, state, and local taxes on income you earn through the Reachd platform. Reachd will not withhold taxes from your payments. If you earn more than $600 in a calendar year through Reachd, we will issue you a Form 1099-NEC. You must provide a valid W-9 before receiving any payments.

3.4 Workers' compensation

Reachd does not provide workers' compensation coverage for you. If you have employees, you are responsible for maintaining required workers' compensation coverage for them.

4. Platform Rules

As a condition of using the platform, you agree to:

Not solicit homeowners to pay outside the Reachd platform
Not misrepresent your qualifications, experience, or credentials
Not submit fraudulent bids or job completions
Upload accurate, current documentation as required by Reachd
Maintain a professional and respectful relationship with homeowners
Complete jobs you have accepted unless circumstances make completion impossible
Upload genuine before/after photos confirming job completion before requesting payment

5. Fees and Payment

You agree to pay Reachd:

A monthly subscription fee ($49/month for Pro plan, $99/month for Pro+ plan), billed automatically beginning on Day 8 after approval
A sliding commission on each completed job (4–10% depending on job value), automatically deducted before payout

Your first 7 days are free (trial period). Your first completed job carries zero commission. After the trial, billing is automatic and subscription fees are non-refundable.

6. Indemnification

You agree to indemnify, defend, and hold harmless Reachd, Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

Your performance of services for homeowners found through the Reachd platform
Your violation of this Agreement or Reachd's Terms of Service
Your violation of any applicable law, regulation, or code
Any claim by a homeowner, third party, or government authority relating to your services
Any claim that you were an employee of Reachd

7. Termination

Either party may terminate this Agreement at any time. Reachd may suspend or terminate your account immediately and without notice for:

Violation of this Agreement or Reachd's Terms of Service
Lapsed or invalid insurance or licensing
Failed background check
Substantiated complaints from homeowners
Fraudulent activity

Upon termination, your access to the platform will cease and any pending payouts for completed jobs will be processed according to standard procedures.

8. Dispute Resolution

Any disputes between you and Reachd relating to this Agreement shall be resolved through binding arbitration in Wayne County, Michigan, under the rules of the American Arbitration Association. You waive any right to a jury trial or class action participation.

9. Governing Law

This Agreement is governed by the laws of the State of Michigan.

10. Entire Agreement

This Agreement, together with Reachd's Terms of Service and Privacy Policy, constitutes the entire agreement between you and Reachd regarding your use of the platform as a contractor.

By checking the acceptance box during registration, you acknowledge that you have read, understood, and agree to be bound by this Independent Contractor Agreement. Your digital acceptance is legally equivalent to a handwritten signature.
